Terms of Service

The rules for using Textilevisor, what a membership includes, and what Textilevisor does and does not do.

Draft. This text has not yet been reviewed by legal counsel and may change before launch. Details in square brackets are placeholders for the operating company.

1. What Textilevisor is

Textilevisor ("we", "us") is an online platform operated by . It helps fashion and apparel brands and textile manufacturers find each other, share project information, message each other and record offers and the progress of orders. We sell memberships to the platform. That is all we sell.

2. What Textilevisor is not

  • We are not a party to any agreement between a brand and a manufacturer. Those agreements are made directly between the two companies.
  • We are not a buyer, seller, agent, broker or carrier, and we do not manufacture or ship goods.
  • We do not receive, hold or pay out the price of goods or services traded between users, and we take no commission on them.
  • We do not guarantee that a user will deliver, pay, or be of any particular quality, and we do not guarantee any trade, price, delivery date or outcome.
  • We do not decide disputes between users and we do not refund, compensate or insure what users trade with each other.

Order records, status changes and the offer history shown on Textilevisor are kept for the convenience of both companies. They show what each side entered; they are not a ruling, an escrow or a guarantee.

3. Who may use it

Textilevisor is for businesses and for people acting for a business. You confirm that you are acting for a company or in a professional capacity, that you are allowed to bind that company, and that the information you give is accurate and kept up to date. We may review and approve accounts, and may refuse or end an account that fails our checks.

4. Your account

Keep your password secret and tell us at once if you think someone else has used your account. You are responsible for what happens under your account. One person may not share a login with others outside the company.

5. Memberships and payment

  • Plans, features and prices are shown in US dollars on the plans page before you buy. Prices may not include taxes that apply to you.
  • A paid plan is billed in advance for each period (for example monthly) and renews automatically until you cancel.
  • You can cancel at any time in Billing. Cancelling stops the next renewal; the plan stays active until the end of the period you already paid for.
  • If a renewal payment fails we may retry and, if it still fails, end the paid plan.
  • We will tell you before a price change affects you; it applies from your next renewal, and you may cancel before then.
  • Refunds are covered in the Cancellation & Refund Policy.
  • Card payments are processed by a payment provider; we do not store your full card number.

6. Dealing with other users

Everything about a trade is between you and the other company: price, payment terms, advance payments, quality, samples, delivery, customs, returns, claims and disputes. We recommend that you agree these in writing before work starts, check the other company's identity and documents yourself, and consider protective arrangements such as staged payments, a letter of credit, a bank guarantee or trade credit insurance from a third party.

Verification badges and documents shown on a profile mean we looked at the documents the company gave us, under the criteria we publish. They are not a guarantee of the company's reliability or of any trade.

7. Acceptable use

  • No false identity, false information or misleading offers.
  • No unlawful goods, forced labour, counterfeits or infringement of someone else's rights.
  • No spam, scraping, attempts to break or overload the service, or to reach other users' data.

We may suspend or remove content or accounts that break these rules.

8. Content and confidentiality

You keep your rights in what you upload (projects, techpacks, images, messages). You give us the right to store and show it to the extent needed to run the service and to the users you choose to share it with. Do not upload anything you have no right to share. Information that another user shares with you through Textilevisor, such as techpacks and designs, may be used only for the project it was shared for, unless that user agrees otherwise.

9. Availability and changes

We aim to keep Textilevisor available but do not promise uninterrupted service. We may change or discontinue features; if we remove something you paid for we will refund the unused part of the period.

10. Liability

To the extent the law allows, we are not liable for losses that arise from dealings between users, for what users say or upload, or for indirect or consequential loss such as lost profit. Our total liability to you for anything connected with the service is limited to the membership fees you paid us in the 12 months before the event. Nothing in these terms limits liability that cannot be limited by law, for example for intent or gross negligence.

11. Ending your membership

You can stop using Textilevisor and delete your account at any time in Account settings. We may end your access if you seriously or repeatedly break these terms. Records that the law requires us to keep, such as invoices, are kept after deletion, as described in the Privacy Notice.

12. Changes to these terms

We may update these terms. For a material change we will notify you in advance by email or in the app. Using the service after the change takes effect means you accept it; if you do not, you can cancel your plan and close your account.

13. Governing law and courts

[Governing law and competent courts or arbitration seat to be confirmed by counsel.]
